1. Purpose
These Terms of Sale, hereinafter the “Terms of Sale”, define the commercial conditions under which Wazo supplies, operates and makes available the paid Tweeksy services.
For purchases processed through Paddle, the purchase transaction is entered into between the Customer and Paddle. Paddle acts as the authorised reseller and Merchant of Record, while Wazo remains the supplier, publisher and operator of Tweeksy. These Terms of Sale therefore form part of the Supplier Agreement governing the Customer’s access to and use of the Tweeksy product and services.
They apply in particular to:
- paid subscriptions;
- monthly or annual plans;
- AI Credits included in subscriptions;
- AI Credit packs purchased separately;
- services related to domain names;
- payments and transaction confirmation;
- invoices and billing documents;
- renewals;
- suspensions in the event of non-payment;
- cancellations;
- refunds and withdrawal rights.
These Terms of Sale supplement Tweeksy’s Terms of Use.
In the event of any contradiction between the Terms of Use and these Terms of Sale regarding the commercial conditions under which Wazo supplies Tweeksy, these Terms of Sale shall prevail. For a Transaction processed through Paddle, the Paddle Buyer Terms and Paddle Refund Policy also apply to the purchase, payment, billing, cancellation and refund aspects handled by Paddle. Nothing in these Terms of Sale limits any mandatory consumer right.
In plain language: the Terms of Use explain the rules for using Tweeksy. These Terms of Sale explain the commercial rules applicable to the Tweeksy service. When Paddle processes the purchase, Paddle sells the Product to the Customer and Wazo supplies and operates Tweeksy.
2. Definitions
In these Terms of Sale, the following terms have the meanings set out below.
Tweeksy means the platform published and operated by Wazo SRL allowing the creation, management and publication of websites.
Wazo means Wazo SRL, the company supplying, publishing and operating Tweeksy.
Customer means any natural or legal person who subscribes to a plan, purchases credits, purchases or manages a domain, or uses a paid service through Tweeksy.
Consumer means a natural person acting for purposes that do not fall within their commercial, industrial, craft, liberal or professional activity.
Professional means a natural or legal person acting for purposes falling within their commercial, industrial, craft, liberal or professional activity.
Tenant or Tweeksy workspace means the customer workspace in which websites, users, settings, subscriptions, credits, domains and related data are grouped.
Website means a website created, modified, hosted or published through Tweeksy.
Product means the Tweeksy product or service purchased by the Customer and made available by Wazo, including a Subscription, AI Credit pack, domain-related service, add-on or other paid service.
Subscription means a paid plan giving access to certain features, limits, credits or services for a defined period.
AI Credits means the consumption units allowing the use of certain features based on artificial intelligence.
Credit Pack means a separate purchase of AI Credits, distinct from the credits included in a Subscription.
Billing Credit means a positive balance that may be generated when changing a Subscription, in particular in the event of a downgrade or prorated adjustment, intended to reduce future eligible Subscription invoices or charges.
Domain means a domain name purchased, connected, renewed or managed through Tweeksy.
Paddle means the relevant Paddle contracting entity identified in the Paddle Buyer Terms. For Transactions processed through Paddle, Paddle acts as the authorised reseller and Merchant of Record for the Product.
Merchant of Record means the entity responsible for the sale transaction with the Customer, including order processing, charging the Customer, collecting and remitting applicable sales taxes, issuing transaction-related billing documents and processing payment-related refunds or disputes.
Transaction means a purchase, Subscription sign-up, renewal or other paid order relating to a Product.
Paddle Buyer Terms means the terms applicable between Paddle and the Customer, available in the Paddle Buyer Terms.
Paddle Refund Policy means Paddle’s refund and withdrawal policy, available in the Paddle Refund Policy.
Supplier Agreement means the contractual documents governing the relationship between Wazo and the Customer in relation to the Product, including these Terms of Sale, the Terms of Use and any applicable specific terms.
3. Acceptance of the Terms of Sale
Subscribing to a paid service, purchasing credits, purchasing a domain or placing any order through Tweeksy implies acceptance of these Terms of Sale.
The Customer must be able to consult the Terms of Sale before confirming a paid order.
For a Transaction processed through Paddle, the Customer also enters into an agreement with Paddle and accepts the Paddle Buyer Terms and Paddle Refund Policy presented or referenced during the checkout process.
Where necessary, Tweeksy may request explicit acceptance of the Terms of Sale, in particular when:
- subscribing to a paid plan;
- purchasing an AI Credit pack;
- purchasing or renewing a domain name;
- making an important change to commercial terms.
Tweeksy may keep proof of acceptance of the Terms of Sale, including in particular:
- the relevant user;
- the relevant tenant;
- the accepted version;
- the language presented;
- the date of acceptance;
- the IP address if available;
- the user agent if available;
- the acceptance context.
Paddle may separately keep evidence relating to the Transaction, checkout, payment, renewal, cancellation, refund request or acceptance of the Paddle Buyer Terms in accordance with its own policies.
4. Language of the Terms of Sale
These Terms of Sale are originally drafted in French. Tweeksy may provide an English version to make them easier for users to understand. When a Customer accepts the Terms of Sale, Tweeksy stores the version, date and language of the version that was presented to the Customer. In the event of any discrepancy between the French version and a translation, the French version shall prevail, unless a mandatory legal provision applicable to the Consumer provides otherwise.
5. Professional Customers and Consumers
Tweeksy may be used by Professional Customers and Consumers. Certain rules may differ depending on whether the Customer acts as a Professional or as a Consumer. The Customer is responsible for providing accurate information regarding their status, country, billing information, any VAT number and identity. When a Customer acts as a Consumer, they benefit from the mandatory rights provided by the applicable consumer regulations. When a Customer acts as a Professional, they acknowledge that the service is subscribed to in the course of their professional activity and that certain protections specific to Consumers do not apply.
6. General description of offers
Tweeksy may offer several plans, free or paid. Plans may include in particular:
- an authorized number of websites;
- storage space;
- traffic or usage limits;
- languages;
- AI features;
- AI Credits;
- publication features;
- domain-related features;
- collaboration features;
- support features;
- limits specific to each plan. Plans may evolve over time. The characteristics applicable to a plan are those displayed on the Tweeksy website or in the interface at the time of subscription. Tweeksy may in particular offer plans such as:
- Explore;
- Explore Plus;
- Creator;
- Business;
- Agency. This list may evolve. In plain language: each plan gives access to certain features and limits. The exact details are those displayed at the time of the order.
7. Free plan
Tweeksy may offer a free plan. The free plan may be limited, in particular in terms of number of websites, features, languages, storage, credits, publication, support or customization. Tweeksy may modify, limit, suspend or discontinue a free plan, subject to informing users where reasonably possible. The free plan does not entitle users to a guarantee of permanent maintenance of the service, features or limits granted. Inactive free websites or workspaces may be subject to specific archiving, suspension or deletion rules, in accordance with the applicable policies.
8. Paid subscriptions
Paid subscriptions provide access to the features and limits provided by the chosen plan. Subscriptions may be offered in particular:
- monthly;
- annually;
- or according to any other billing period displayed at the time of order. The price, duration, features, limits and any promotions are displayed before the order is confirmed. Subscribing to a subscription implies an obligation to pay. Access to paid features is activated after payment validation, unless otherwise indicated at the time of order.
9. Monthly and annual subscriptions
A monthly subscription is billed according to the monthly billing period displayed at the time of order. An annual subscription is billed according to the annual billing period displayed at the time of order. Annual subscriptions may include a discount or commercial advantage compared to monthly billing. The exact amount and conditions applicable to the annual subscription are those displayed at the time of order. Unless otherwise indicated, the annual subscription is paid in advance for the relevant annual period.
10. Automatic renewal
Unless otherwise indicated at the time of order, paid Subscriptions automatically renew at the end of each billing period.
Renewal takes place according to the billing period chosen by the Customer:
- monthly;
- annually;
- or any other applicable billing period.
For Subscriptions purchased through Paddle, recurring charges are processed by Paddle. By starting a Subscription, the Customer authorizes Paddle to charge the selected payment method for the applicable recurring charges in accordance with the Paddle Buyer Terms until the Subscription is cancelled.
The Customer may cancel the Subscription before the next renewal through the cancellation options available in the Tweeksy interface, through the management link provided by Paddle, through Paddle Buyer Support, or through Tweeksy support where assistance is required.
Unless otherwise required by law or stated during cancellation, cancellation takes effect at the end of the already paid period. It prevents future renewals but does not automatically result in a refund of the current paid period.
11. Prices
Prices for Tweeksy services are displayed on the website, in the interface or at the time of order.
Prices may vary depending on:
- the chosen plan;
- the billing period;
- the Customer’s country;
- the currency;
- applicable taxes;
- any promotions;
- additional services;
- domains or credits purchased.
For a Transaction processed through Paddle, the final Charges, currency and applicable taxes are those presented by Paddle to the Customer before the Transaction is confirmed.
The prices displayed and confirmed at the time of order prevail for the order concerned.
Tweeksy may modify its advertised prices at any time. A price change does not apply retroactively to periods already paid.
In the event of a price change for a renewable Subscription, the Customer will be informed before the new price takes effect where required by law, by the Paddle Buyer Terms or where otherwise appropriate.
12. Taxes and VAT
Prices may be displayed inclusive or exclusive of taxes depending on the country, Customer status, order context and applicable rules.
The Customer is responsible for providing accurate billing information, including:
- name or company name;
- address;
- country;
- VAT number if applicable;
- Professional or Consumer status;
- billing email address.
For Transactions processed through Paddle, Paddle acts as Merchant of Record and is responsible for determining, collecting, filing and remitting applicable VAT, sales tax, GST or similar transaction taxes in accordance with the applicable rules.
The Customer must provide any information reasonably required by Paddle to calculate taxes or determine eligibility for a tax exemption.
In the event of an error in the information provided by the Customer, Wazo shall not be held liable for the tax, accounting or administrative consequences resulting from that error, without limiting any mandatory right the Customer may have against Paddle or another responsible party.
13. Payment
Wazo is the supplier, publisher and operator of Tweeksy.
For purchases processed through Paddle, Paddle acts as the authorised reseller and Merchant of Record. The Customer purchases the Product or Subscription from Paddle, while Wazo makes the Tweeksy service available to the Customer and remains responsible for operating and supporting the Product.
Paddle manages the order processing and payment, the collection and remittance of applicable VAT or sales taxes, the issuance of transaction-related billing documents, and payment-related customer support. The Transaction is also subject to the Paddle Buyer Terms and Paddle Refund Policy.
The Customer must use a valid and authorized payment method. By confirming a paid Transaction through Paddle, the Customer authorizes Paddle to charge the amount displayed at checkout and, for a renewable Subscription, the applicable recurring charges.
Wazo does not directly process full payment card details where these are collected by Paddle.
Payment is considered confirmed for Tweeksy when Paddle sends Wazo effective confirmation that the Transaction has been completed. Access to the relevant Product may be activated, renewed, modified, suspended or cancelled on the basis of transaction and subscription status information received from Paddle.
14. Invoices
For Transactions processed through Paddle, Paddle issues or makes available the applicable receipts, invoices or other transaction-related billing documents in accordance with the applicable tax and accounting rules.
These documents may be accessible through the link included in Paddle’s transaction email, through the relevant Paddle billing or buyer interface, or through a link made available in the Tweeksy interface.
Wazo may make transaction information or copies of available billing documents visible in the Tweeksy interface, but this does not change Paddle’s role as Merchant of Record for the Transaction.
The Customer is responsible for verifying the accuracy of their billing information before confirming the order.
A billing document cannot always be modified after it has been issued, in particular where accounting or tax rules prohibit it. Requests relating to a Paddle-issued billing document must be submitted to Paddle Buyer Support, with assistance from Wazo where appropriate.
15. Payment failure
If a payment or renewal charge processed through Paddle fails, Paddle may retry the charge, request an updated payment method or send payment-related notifications in accordance with its applicable procedures.
On the basis of the status communicated by Paddle, Tweeksy may apply a grace period.
As a product rule, the following cycle may be applied:
- D+0: payment failed, start of a grace period;
- D+7: if payment has not been regularized, suspension of paid features;
- D+14: if payment has still not been regularized, possible suspension of the public website;
- D+90 after public suspension: possible deletion of the relevant data.
During the grace period, certain features may remain temporarily available.
Paddle and/or Tweeksy may send reminders and notification emails to the Customer.
The Customer remains responsible for regularizing the payment through the payment-update or payment-recovery method made available by Paddle or indicated in the Tweeksy interface.
16. Functional suspension in the event of non-payment
In the event of non-payment that has not been regularized, Tweeksy may suspend certain features. Functional suspension may in particular block:
- AI features;
- content generation;
- image generation or modification;
- publication;
- premium features;
- credit consumption;
- addition of new websites;
- access to certain back-office features. Tweeksy may maintain limited access allowing the Customer to regularize payment. Functional suspension does not automatically terminate the subscription or the amounts due.
17. Suspension of the public website in the event of prolonged non-payment
In the event of prolonged non-payment, Tweeksy may temporarily suspend the public display of the website. The public website may be replaced by a neutral page indicating that the website is temporarily unavailable. Suspension of the public website may occur in particular when payment remains unregularized after the planned reminders. Regularization of payment may allow reactivation of the website, subject to the applicable rules, technical delays and account status.
18. Deletion after prolonged non-payment
If non-payment is not regularized after public suspension of the website, Tweeksy may proceed with or schedule deletion of the relevant data after a period of 90 days from that public suspension. Before a deletion related to prolonged non-payment, Tweeksy may send notifications to the Customer in order to inform them of:
- the situation;
- the possible consequences;
- the scheduled deletion date;
- the actions allowing the account to be regularized. Certain data may be retained for longer where necessary to comply with a legal, tax, accounting or contractual obligation, or to preserve evidence.
19. Regularization after non-payment
The Customer may regularize non-payment by updating their payment method or completing payment through the procedure made available by Paddle or indicated in the Tweeksy interface.
After Paddle confirms regularization, Tweeksy may reactivate the suspended features.
Reactivation may not be immediate and may require a technical delay.
Wazo is not responsible for the consequences linked to late regularization of payment, including:
- temporary unavailability of the Website;
- blocking of features;
- expiry of third-party services;
- non-renewal of a Domain;
- loss of commercial opportunity;
except where liability cannot legally be excluded.
20. AI Credits included in subscriptions
Certain plans may include AI Credits. These credits allow the use of certain features based on artificial intelligence. The number of included credits depends on the subscribed plan. Included credits may be renewed according to the subscription billing period, in accordance with the rules displayed in the interface or at the time of subscription. Unless otherwise indicated, credits included in a subscription are linked to the relevant subscription and do not constitute electronic money, a bank balance or a general means of payment.
21. AI Credit packs
Tweeksy may allow the purchase of separate AI Credit packs. Credit packs are distinct from credits included in the subscription. The price, number of credits, any validity period and conditions of use of the packs are displayed at the time of purchase. Credit packs are activated after payment confirmation. Unless otherwise required by law or otherwise indicated at the time of purchase, purchased credit packs are not refundable when they have been consumed, in whole or in part.
22. Order of consumption of AI Credits
Credits included in the subscription and credits purchased as packs are managed separately. Unless otherwise indicated, credits are consumed in the following order:
- credits included in the subscription;
- then credits from separately purchased packs. When several credit packs have been purchased, credits from packs are consumed in chronological order of purchase, from the oldest pack to the most recent pack. Tweeksy may inform the Customer when their credit balance becomes low, when a type of credits is exhausted or when an action cannot be performed due to insufficient credits.
23. Consumption of AI Credits
An action based on artificial intelligence may consume credits when it is launched, processed or executed. The quantity of credits consumed may depend in particular on:
- the type of action;
- the model used;
- the complexity of the request;
- the volume of content;
- the requested quality or resolution;
- the number of variants generated;
- the applicable technical settings. The Customer must review generated content before publishing or using it. The fact that generated content requires correction, adaptation or human validation does not automatically entitle the Customer to a refund of consumed credits. In the event of a technical incident clearly attributable to Tweeksy preventing the execution of the action, Tweeksy may, at its discretion or according to the applicable product rules, re-credit the relevant credits.
24. Limits, quotas and overages
Each plan may be subject to limits or quotas. These limits may in particular concern:
- the number of websites;
- the number of pages;
- storage;
- AI Credits;
- languages;
- data sources;
- forms;
- members;
- publication;
- domains;
- reasonable technical use of the service. In the event of exceeding the limits of a plan, Tweeksy may:
- block certain actions;
- request an upgrade;
- limit certain features;
- place certain elements in read-only mode;
- prevent publication;
- ask the Customer to delete certain elements. The applicable limits are those displayed in the interface, on the website or in the applicable commercial documentation.
25. Upgrade, downgrade and plan change
The Customer may change plans according to the options available in Tweeksy.
An upgrade to a higher plan may provide immediate or progressive access to additional features, depending on the applicable rules and after confirmation of any additional payment.
A downgrade to a lower plan may be subject to prior conditions.
When the lower plan includes lower limits than the current plan, the Customer must first adapt their usage in order to comply with the limits of the new plan.
This may in particular involve:
- reducing the number of websites;
- deleting or archiving certain content;
- reducing the storage space used;
- deleting certain users or access rights;
- reducing the number of languages;
- disabling certain features;
- deleting or adapting certain elements exceeding the limits of the new plan.
Tweeksy may block the downgrade as long as the Tweeksy workspace does not comply with the limits of the requested lower plan.
In the event of a downgrade, certain features may become unavailable and certain elements may be placed in read-only mode, blocked or may have to be deleted by the Customer.
The financial terms of the plan change are those displayed before the operation is confirmed.
For a Subscription managed through Paddle, Paddle may apply the proration and billing rules configured for the relevant plan change. Depending on the case, this may result in:
- an additional amount to be paid;
- no immediate payment;
- or the creation of a Billing Credit.
The Customer must review the amount and effective date displayed before confirming the plan change.
26. Billing Credits related to subscription changes
In the event of a Subscription downgrade or modification during an already paid period, a Billing Credit may be calculated and recorded by Paddle where this option is enabled.
This credit generally corresponds to the unused portion of the Subscription already paid, after application of the applicable prorating rules.
Unless otherwise required by law, provided by the Paddle Buyer Terms or Paddle Refund Policy, or specifically approved through the applicable refund procedure, this credit is not automatically refunded in cash.
The credit is intended to reduce the Customer’s next eligible Tweeksy Subscription charges. It does not constitute:
- electronic money;
- a bank balance;
- a general means of payment;
- an AI Credit;
- an AI Credit pack;
- an automatic right to a monetary refund.
Unless otherwise indicated in the interface or specifically approved, this credit cannot be used to purchase:
- AI Credit packs;
- domain names;
- domain name renewals;
- domain recovery fees;
- other one-off products or services not related to the Subscription.
The credit remains associated with the relevant Customer account and with the currency in which it was created.
When the Customer has an applicable Billing Credit, Paddle may automatically apply it to reduce the Customer’s next eligible Subscription charges.
The Customer may view the estimated impact of a plan change before confirmation when this information is available in the interface or provided by Paddle.
27. Subscription cancellation
The Customer may cancel their Subscription through the procedures available in the Tweeksy interface, through the management link provided in Paddle’s transaction or Subscription emails, through Paddle Buyer Support at paddle.net, or through Tweeksy support where assistance is required.
Unless otherwise indicated or required by applicable law, cancellation takes effect at the end of the already paid period and prevents future renewal charges.
The Customer retains access to paid features until the end of the paid period, unless there is a violation of the Terms of Use, abuse, fraud, non-payment or another legitimate reason for suspension.
Cancellation of a Subscription does not automatically entitle the Customer to a refund. Refunds and withdrawal rights are governed by Section 29, the Paddle Buyer Terms, the Paddle Refund Policy and mandatory consumer law.
Cancellation of a Subscription does not automatically delete the Customer’s account, Tenant, Websites or data.
After cancellation, the Tenant may revert to a free or limited plan if this is compatible with the applicable limits.
If the Tenant exceeds the limits of the remaining plan, certain features may be blocked, certain elements may be placed in read-only mode and the Customer may be asked to delete elements or return to a compatible plan.
28. Voluntary deletion of a website or Tweeksy workspace
Voluntary deletion of a website or Tweeksy workspace is governed by the Terms of Use, the Privacy Policy and the applicable retention rules. As a product rule:
- soft deletion is immediate;
- recovery is possible for 30 days;
- active data may be permanently deleted after 30 days;
- certain data may remain temporarily present in technical backups;
- backups follow a rotation cycle with a maximum target period of 90 days. Certain data may be retained for longer where necessary to comply with a legal, tax, accounting or contractual obligation, or to preserve evidence. This may include in particular:
- invoices;
- payments;
- proof of acceptance of legal documents;
- logs necessary for security;
- data related to fraud, abuse or litigation.
29. Refund Policy
For Transactions processed through Paddle, refund, cancellation and withdrawal requests relating to the purchase transaction are governed by the Paddle Buyer Terms, the Paddle Refund Policy, applicable mandatory consumer law and any additional non-waivable rights expressly granted by Wazo.
Unless required by applicable law or approved in accordance with the Paddle Refund Policy, Transactions are generally non-refundable and non-exchangeable.
In particular:
- amounts paid for a Subscription period that has already started are not automatically refunded;
- no refund is automatically due solely because the Customer did not use the service during a paid period;
- a Subscription downgrade or plan change may generate a Billing Credit rather than a monetary refund;
- consumed AI Credits are not refundable, except where required by law, where a qualifying technical incident is established, or where a refund or commercial remedy is approved;
- Credit Packs that have been partially or fully consumed are generally not refundable;
- fees related to Domain operations are generally not refundable once the operation has been launched with the registry, registrar or Domain service provider.
If the Customer experiences a persistent technical problem or a material defect affecting the Product, the Customer should first contact Wazo at support@tweeksy.com so that Wazo can attempt to resolve the problem. If the problem cannot be resolved, the Customer may submit a refund request to Paddle and provide details of the issue and Wazo’s response.
For a Transaction processed through Paddle, the Customer may request a refund or exercise an applicable withdrawal right by:
- using the “View receipt” or “Manage subscription” link in Paddle’s transaction confirmation email;
- using the support link provided in the receipt or on the relevant billing page;
- visiting Paddle Buyer Support at paddle.net and selecting the applicable refund or order-support option.
The Customer may also contact billing@tweeksy.com for assistance with identifying the relevant Transaction, resolving a Product-related issue or understanding the applicable procedure.
Paddle reviews and processes refund requests relating to Paddle Transactions. Paddle may approve a full refund, approve a partial refund or decline the request in accordance with the Paddle Refund Policy, applicable law, Transaction records, Product usage and any relevant information provided by Wazo.
Wazo may provide information to Paddle, recommend or initiate a refund request through its Paddle account, grant AI Credits or Billing Credits, or offer another commercial remedy where appropriate. Such a commercial gesture is voluntary and does not create an obligation for future cases.
Where a refund is approved, it is processed by Paddle, where possible through the original payment method. Access to the relevant Product, Subscription, credits or service may cease, be reduced or be disabled as a consequence of the refund.
30. Consumer right of withdrawal
When a Customer acts as a Consumer and concludes a distance contract, the Customer may benefit from a statutory right of withdrawal under the mandatory law applicable to the Transaction.
For Transactions processed through Paddle, the scope, duration and exercise of the right of withdrawal are described in the Paddle Refund Policy and are subject to the Paddle Buyer Terms and applicable mandatory consumer law.
Consumers in the European Union, the European Economic Area and certain other jurisdictions may in particular benefit from a 14-calendar-day withdrawal period for eligible digital content or service contracts. The exact rights may differ depending on the Customer’s country, the nature of the Product, whether performance has begun, whether a free trial was provided and whether the Transaction is an initial purchase or a renewal.
To exercise an applicable right of withdrawal for a Paddle Transaction, the Consumer should notify Paddle before the applicable period expires by using one of the methods described in Section 29.
The Consumer may also contact billing@tweeksy.com for assistance, but Wazo is not the reseller or Merchant of Record for a Transaction processed through Paddle.
The Consumer may use the model withdrawal form attached to these Terms of Sale, although this is not mandatory.
The right of withdrawal is reserved for Consumers. It does not apply to Professional Customers contracting in the course of their professional activity, except where a mandatory law provides otherwise.
31. Immediate access to the service during the withdrawal period
Tweeksy is a digital service that may be activated quickly after the order.
Unless there is a technical block, payment refusal or a contrary rule displayed at the time of order, the Customer may access the Tweeksy service immediately after payment confirmation.
Where a Consumer wishes to access the service, digital content, AI Credits or a Domain-related operation before the end of an applicable withdrawal period, Paddle and/or Tweeksy may ask the Consumer to expressly request immediate performance.
This confirmation may in particular be requested for:
- a paid Subscription;
- an AI Credit pack;
- the registration or renewal of a Domain name;
- a digital service activated immediately.
Depending on the nature of the Product and the applicable law, immediate performance may:
- permit a proportionate deduction for services already supplied before withdrawal;
- cause the right of withdrawal for digital content to be lost once supply has begun, where the Consumer has given the legally required express consent and acknowledgement;
- or otherwise affect the amount or remedy available.
Immediate access does not remove mandatory Consumer rights unless the legal conditions for doing so have been satisfied.
Wazo may provide Paddle with information concerning activation, access, elapsed Subscription time, AI Credits consumed or Domain operations already launched so that the applicable withdrawal or refund request can be assessed.
32. Effects of withdrawal on a subscription
When a Consumer validly exercises an applicable right of withdrawal regarding a Subscription purchased through Paddle, the refund is reviewed and processed by Paddle in accordance with the Paddle Buyer Terms, Paddle Refund Policy and applicable mandatory law.
Where permitted by law, and where the Consumer requested immediate performance during the withdrawal period, the refundable amount may be reduced by an amount proportionate to the service already supplied before the withdrawal notification.
The assessment may take into account in particular:
- the duration of access to the service already elapsed;
- the actual use of the paid plan;
- the paid features already used;
- the credits included in the Subscription already consumed;
- the resources or services already provided.
Wazo may provide Paddle with usage and activation information required to assess the request.
If the withdrawal or refund is approved, access to the relevant paid plan may cease or revert to a free or limited plan according to the applicable rules.
Withdrawal from a Subscription does not automatically delete the Customer’s account, Tenant, Websites or data, unless there is a separate deletion request or applicable rule.
If the Customer wishes to delete their Website or Tweeksy workspace after withdrawal, the deletion rules provided in the Terms of Use, Privacy Policy and these Terms of Sale apply.
33. Effects of withdrawal on AI Credit packs
When a Consumer purchases an AI Credit Pack, Paddle and/or Tweeksy may ask the Consumer to expressly request immediate availability of the pack before the end of an applicable withdrawal period.
AI Credits already consumed are generally not refundable, except where required by law, where a qualifying technical incident is established or where a refund or commercial remedy is approved.
When the Consumer validly exercises an applicable right of withdrawal for an AI Credit Pack purchased through Paddle, unused credits may be cancelled and the eligible refund is processed by Paddle in accordance with the Paddle Buyer Terms, Paddle Refund Policy and applicable mandatory law.
Wazo may provide Paddle with information concerning the activation and consumption of the Credit Pack.
Where a refund is approved, Wazo may deactivate the corresponding unused credits and the Customer’s access to the refunded Product may cease.
34. Effects of withdrawal on domain names
Domain names are subject to specific execution with a registry, registrar or Domain service provider.
Before launching a Domain operation, Paddle and/or Tweeksy may ask the Consumer to expressly confirm that they request immediate execution before the end of an applicable withdrawal period.
This may in particular concern:
- registration of a Domain name;
- renewal of a Domain name;
- recovery or restoration of a Domain name, where this operation is available.
Where the Domain operation has not yet been launched with the registry, registrar or Domain service provider, Wazo may cancel the operation and request or authorize the applicable refund through Paddle.
Where the operation has already been launched or executed at the Customer’s request, it may no longer be cancellable or refundable, unless otherwise required by law or provided by the Paddle Refund Policy.
If the Domain cannot be registered or renewed for a reason not attributable to the Customer and the operation is not executed, Wazo may offer an alternative or request or authorize a refund through Paddle for the non-executed operation.
Paddle processes any approved monetary refund relating to a Paddle Transaction.
35. Domain names
Tweeksy may allow the Customer to purchase, connect, manage or renew domain names. Domain name services may be provided with the involvement of specialized providers, including Openprovider. When the domain is registered in the Customer’s name, the Customer remains the owner / registrant of the domain. The Customer is also the administrative contact for the domain. Tweeksy may act only as technical intermediary, technical contact or registrar billing contact depending on the chosen configuration, without becoming the owner of the domain and without becoming the administrative contact of the domain. The purchase, renewal or recovery of a domain may be subject to specific conditions, including those of the registry, registrar or domain service provider. The Customer is responsible for providing accurate and up-to-date information for the registration and management of the domain.
36. Availability and registration of domains
The availability of a Domain name is never guaranteed before effective confirmation of its registration.
A Domain may appear available at a given time and no longer be available at the time of effective validation by the registry or registrar.
Tweeksy does not guarantee obtaining a Domain until registration has been confirmed by the competent provider.
If a Domain cannot be registered and the operation has not been executed, Wazo may offer the Customer the option to choose another Domain or request or authorize a refund of the amount relating to the non-executed operation. For a Transaction processed through Paddle, any approved monetary refund is processed by Paddle.
37. Payment and renewal of domains
A Domain purchased or renewed through Tweeksy is registered or renewed only after Paddle or the applicable transaction provider confirms the corresponding payment.
Tweeksy does not launch or complete a Domain renewal if the applicable payment is not confirmed.
The Customer is responsible for maintaining a valid payment method and regularizing any non-payment before the Domain expiry date, using the payment-management method made available by Paddle where applicable.
In the absence of confirmed payment, the Domain may expire, be suspended, enter a redemption period, incur additional fees or be lost.
Wazo shall not be held liable for the loss of a Domain resulting from the absence of confirmed payment, inaccurate information or late action by the Customer, except where liability cannot legally be excluded.
38. Domain fees and non-refundability
Domain-related fees may include in particular:
- registration fees;
- renewal fees;
- recovery fees;
- restoration fees;
- fees imposed by a registry, registrar or provider.
Once the operation has been launched or executed with the competent provider, Domain fees are generally non-refundable, unless otherwise required by law or provided by the Paddle Refund Policy.
Certain fees may remain due even if the Customer does not use the Domain or decides no longer to associate it with a Tweeksy Website.
For a Transaction processed through Paddle, any approved monetary refund is processed by Paddle in accordance with Section 29.
39. No domain transfer management in V1
As of the effective date of these Terms of Sale, Tweeksy does not offer a standard domain transfer feature in V1 of the service. This includes in particular:
- incoming transfers to Tweeksy;
- outgoing transfers from Tweeksy;
- automated transfers through the Tweeksy interface. Any specific request relating to a domain must be examined according to the rules applicable to the relevant domain, the registry, the registrar and the domain service provider. The fact that Tweeksy does not yet offer standard domain transfer management in the interface does not affect the fact that the Customer remains the owner / registrant and administrative contact of the domain registered in their name.
40. Third-party services
Tweeksy relies on third-party services to provide certain features.
These services may include in particular:
- authorised resale, transaction and billing services;
- hosting;
- storage;
- CDN;
- emails;
- artificial intelligence;
- Domain names;
- analytics activated by the Customer;
- security;
- technical operation.
Paddle’s role for Transactions processed through Paddle is described in Sections 2, 12, 13, 14 and 29. Paddle acts as authorised reseller and Merchant of Record, not merely as a technical payment processor.
The Customer acknowledges that certain features may depend on third-party services.
Wazo is not responsible for interruptions, limitations or modifications directly attributable to a third-party service, unless otherwise required by law. This clause does not alter Paddle’s obligations under the Paddle Buyer Terms or the rights available to the Customer under the Paddle Refund Policy.
41. Support
Tweeksy may provide Product-related support according to the procedures available in the interface, on the website or in the subscribed plan.
Support levels may vary depending on the plans.
Technical, functional and Product-related support may in particular be provided by Wazo at:
For order, payment, billing, cancellation or refund support relating to a Paddle Transaction, the Customer may also use Paddle Buyer Support at paddle.net.
Wazo uses its best efforts to respond to support requests within a reasonable time, without guaranteeing a specific response time unless a specific commitment is provided in a separate offer or contract.
42. Customer obligations
The Customer undertakes to:
- provide accurate information;
- keep their billing information up to date;
- use a valid payment method;
- comply with the Terms of Use;
- comply with these Terms of Sale;
- comply with the applicable specific terms;
- review AI-generated content;
- comply with the laws applicable to their activity;
- not use Tweeksy for illegal, fraudulent or abusive activities;
- pay the amounts due. The Customer is responsible for the actions carried out by users invited into their Tweeksy workspace.
43. Limitation of liability
To the extent permitted by law, Wazo may not be held liable for:
- misuse of Tweeksy by the Customer;
- Customer payment failure;
- loss of a Domain linked to absence of payment or inaccurate information;
- incorrect Website configuration;
- content published by the Customer;
- errors in AI-generated or AI-assisted content;
- indirect losses;
- commercial losses;
- loss of revenue;
- loss of customers;
- reputational damage;
- loss of opportunity;
- interruptions attributable to third-party services.
This limitation applies only to Wazo’s liability as supplier, publisher and operator of Tweeksy. Paddle’s responsibilities and liability in relation to a Paddle Transaction are governed by the Paddle Buyer Terms and applicable law.
This limitation does not apply in cases of intentional misconduct, gross negligence or liability that cannot legally be excluded.
44. Force majeure
Tweeksy shall not be held liable for delay or non-performance resulting from an event of force majeure or an event reasonably beyond its control. This may include in particular:
- major failure of a provider;
- natural disaster;
- war;
- riot;
- cyberattack;
- internet outage;
- hosting failure;
- administrative decision;
- external strike;
- incident affecting an essential provider.
45. Modification of the Terms of Sale
Tweeksy may modify these Terms of Sale in order to take into account:
- changes to the service;
- commercial developments;
- legal or regulatory developments;
- changes in providers or transaction arrangements;
- new features;
- the need for clarification.
New versions are published with an effective date.
Where changes are significant, Tweeksy may inform Customers or request renewed acceptance.
Changes do not apply retroactively to orders already paid, unless required by law or agreed by the Customer.
The Paddle Buyer Terms and Paddle Refund Policy may be updated separately by Paddle. The version applicable to a Paddle Transaction is determined in accordance with Paddle’s own terms and policies.
46. Applicable contractual documents
These Terms of Sale may be supplemented by other documents, including:
- Terms of Use;
- Privacy Policy;
- Cookie Policy;
- Specific Terms for Domain Names;
- Specific Terms for AI Credits;
- Data Processing Agreement / DPA;
- documents displayed at the time of order;
- specific terms of a particular offer or contract;
- for Transactions processed through Paddle, the Paddle Buyer Terms and Paddle Refund Policy.
For matters relating to access to, operation of and use of the Product, the most specific Wazo contractual document shall prevail for the matter it covers.
For matters relating to the Paddle Transaction, including the purchase contract with Paddle, payment, taxes, Paddle-issued billing documents, cancellation routes and monetary refunds, the Paddle Buyer Terms and Paddle Refund Policy apply.
Nothing in the contractual documents limits mandatory consumer rights.
47. Applicable law and competent jurisdiction
These Terms of Sale and the Supplier Agreement between Wazo and the Customer are governed by Luxembourg law, unless a mandatory provision applicable to the Consumer provides otherwise.
The purchase Transaction between Paddle and the Customer is governed by the law and dispute provisions set out in the Paddle Buyer Terms.
In the event of a dispute relating to Wazo’s supply or operation of Tweeksy, the Customer and Wazo shall first seek an amicable solution.
In the event of a payment, billing, cancellation or refund issue relating to a Paddle Transaction, the Customer should also use Paddle Buyer Support at paddle.net.
Failing an amicable solution, the competent courts shall be determined in accordance with the applicable contractual document and mandatory legal rules.
Consumers retain all mandatory rights they benefit from under the applicable regulations.

For a Paddle Transaction, requests concerning payment, a Paddle-issued receipt or invoice, cancellation, a refund or an applicable withdrawal right may also be submitted through Paddle Buyer Support at paddle.net, through the support link provided in the receipt or billing page, or through the management link contained in Paddle’s transaction emails.
Wazo may assist the Customer with identifying a Transaction, resolving a Product-related issue or understanding the applicable procedure, but Paddle remains the authorised reseller and Merchant of Record for the Paddle Transaction.

Appendix — Model withdrawal form
The Consumer may use the model below to exercise an applicable right of withdrawal, although use of the model is not mandatory.
For a Transaction processed through Paddle, the withdrawal request should be submitted to Paddle using the “View receipt” or “Manage subscription” link contained in the Transaction confirmation email, the support link shown in the receipt or billing page, or Paddle Buyer Support at paddle.net.
A copy may also be sent to Wazo at billing@tweeksy.com so that Wazo can assist with identifying the Transaction, confirming Product usage or processing any required change to access. Wazo does not replace Paddle as authorised reseller and Merchant of Record for the Transaction.
